Overview

The Gablemarine UK Brokerage Affliliate Scheme (UBAS) is designed to reward brokerage partners who refer customers to Gablemarine, or make use of Gablemarine services directly, on behalf of their customers.

Customer Ownership

A customer is an individual or business who contracts for services with the Affiliate Partner and/or Gablemarine.

Ownership is dependent on the services taken.  In the case of boat sales, the customer remains with the selling organization and Gablemarine will not pursue such customers for the purpose of selling craft or introducing third parties for such purpose.  In the case of services directly relating to CE marking then Gablemarine will have the right to promote such services to these customers on a repeat basis and seek further custom from referrals generated by such customers.

Lead source

Where a customer is referred to Gablemarine via the affiliate web link, the Affiliate partner will be eligible for affiliate commission for services provided to the customer irrespective of whether the craft concerned is subsequently purchased from the affiliate.  In such circumstances the affiliate partner will be deemed to have provided the lead which resulted in the provision of services and generation of affiliate income.

Where Gablemarine undertakes work for customers who have purchased a craft from the partner, but not via a web link, evidence of the sale shall be accepted as proof that the lead came from the Partner and that commission should be paid.

Where an initial enquiry is received via a web link from one partner, but the sale of the craft is made through another partner, then, the commission will be paid to the first partner only.

Commission Rates

Commission is paid on a flat rate basis.  Rates are expressed and paid in GBP pounds and only related to CE Marrking services.

Payments

Payments will be made one week after the end of each calendar quarter and will relate to commission earned up to the end of the quarter.  Commission is earned when payment for services has been received and has cleared (ie is available to Gablemarine to make payments).

Payments will be made in GBP pounds from our UK Bank account (Santander).  Where possible, payments will be made electronically.

Payment Details

It is the Partner responsibility to ensure that bank details provided for payment are both accurate and current.  Gablemarine is not liable for payments made with incorrect bank details where such details were provided by the Partner.

Where bank details are changed it is the Partner responsibility to ensure such changes are received by Gablemarine and confirmation of receipt obtained.

Competition

Entry into the UBAS implies promotion of Gablemarine services on a sole, preferred supplier basis.  The Partner agrees not to promote similar services, from competitors to Gablemarine, whilst remaining a partner and in any event, within a period of 6 months of joining the scheme, except by mutual agreement in writing with Gablemarine.

Should Gablemarine become aware of promotion of competitor services it shall retain the right to terminate the agreement without notice and retain all outstanding commission payments.

Term

The EBAS agreement has a term of one calendar year, renewable on each 1st January.  The agreement may be terminated by either party subject to a notice period of one calendar month, received in writing.

Customer Default

Where a customer fails to make full payment to Gablemarine, the commission will be reduced on a pro-rata basis.  If no payment is received then no commission will be due.  If 50% payment is received, 50% commission will be paid and so on.

Note that commission payments are only made on receipt and bank clearance of customer payments.

Should a customer payment not be received 60 days after the invoice date it shall be treated as bad debt and considered unpaid.

Disputes

Should a partner be aware of a connection between a customer for a boat sale and a customer for Gablemarine services, one which may be eligible for an affiliate commission payment, then they should communicate such to Gablemarine via the brokers@gablemarine.com email in the first instance.

Governing Law

Arrangements and terms set out in this document are subject to governance under UK English Law.
